1. Acceptance of Terms

This is a binding agreement. By using the website (pixerria.com) and any services provided by Pixerria (collectively, the "Platform"), you agree to abide by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform.

2. The Pixerria Platform

Pixerria is an online crowdfunding platform where users can create fundraising campaigns ("Campaigns") to raise money from other users ("Donors"). Pixerria is a platform provider and is not a broker, financial institution, or charity. All funds are processed by third-party payment processors (e.g., Stripe).

Payment processing services for Campaign Organizers on Pixerria are provided by Stripe and are subject to the Stripe Connected Account Agreement and the Stripe Services Agreement, as each may be modified by Stripe from time to time. By creating a Campaign, connecting a payout account, or continuing to use organizer features, you agree to be bound by those Stripe terms to the extent they apply to you.

Any pixels, space, or visual placement granted on the Pixerria canvas in connection with a contribution are promotional digital tokens intended solely to visualize support. They have no cash value, do not create ownership of digital real estate, and do not convert a contribution into a purchase of goods, advertising inventory, or commercial placement rights.

3. Accounts and Security

You are responsible for maintaining the security of your account and are fully responsible for all activities that occur under the account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security.

4. For Campaign Organizers

As a Campaign Organizer, you represent and warrant that:

  • All information you provide is accurate and not misleading.
  • You will use all donated funds solely for the purposes stated in your Campaign.
  • You will comply with all applicable laws and regulations in your use of the donations.
  • You are responsible for any and all taxes due on the funds you receive.

Pixerria reserves the right to investigate any Campaign, Organizer, Beneficiary, donation, payout account, or related content at any time to verify compliance with these Terms, prevent fraud, respond to complaints, comply with law, or protect the Platform and its users. In conducting a review, we may consider any information we deem relevant, including information submitted by donors, beneficiaries, payment processors, law enforcement, public sources, or your communications with us.

Pixerria may withhold funds, pause or delay payouts, place reserves on an account, reverse or cancel transfers, suspend or remove a Campaign, require additional verification, request supporting documentation, or terminate access to the Platform if we suspect fraudulent activity, misleading content, misuse of funds, prohibited conduct, elevated payment risk, or a breach of these Terms.

You agree to cooperate promptly and fully with any review or investigation we conduct, including by providing identity, banking, campaign, beneficiary, use-of-funds, or other compliance information we request. Failure to cooperate may result in holds, refunds, chargebacks, account suspension, termination, or other enforcement action.

Pixerria may require Campaign Organizers, Beneficiaries, and payout recipients to complete identity verification, business verification, sanctions screening, politically exposed person screening, or other compliance checks before creating a Campaign, receiving donations, accessing certain features, or receiving payouts. We may request government-issued identification, corporate documents, banking records, proof of beneficial ownership, or other supporting materials at any time.

Pixerria operates with anti-fraud and anti-money laundering controls and may freeze funds, delay payouts, file reports, or provide information to payment processors, financial institutions, regulators, or law enforcement, including FINTRAC or similar authorities, where we determine it is appropriate or legally required.

Pixerria may charge platform fees and deduct third-party payment processing fees, reserves, chargeback amounts, refunds, taxes, penalties, and other amounts disclosed on the Platform or reasonably incurred in connection with your Campaign before funds are paid out. Unless otherwise stated by Pixerria in writing, all such fees and deductions are non-refundable.

You are solely responsible for all refunds, payment reversals, failed transfers, losses, chargebacks, disputes, fines, fees, penalties, and related costs arising from your Campaign, your conduct, your breach of these Terms, misleading or inaccurate campaign content, misuse of funds, or disputes tied to donations made to your Campaign. We may recover these amounts by deducting them from future donations, pending payouts, reserve balances, or other amounts owed to you, and if those amounts are insufficient, you agree to reimburse Pixerria on demand.

If Pixerria, a payment processor, or a card issuer determines that a donation should be refunded, reversed, held, or disputed, you do not have an automatic right to receive or retain those funds. Pixerria may decide the appropriate operational response in its discretion, subject to applicable law and payment processor requirements.

5. For Donors

By donating, you understand that your contribution is made to the Campaign Organizer, not to Pixerria. We do not guarantee that a Campaign will achieve its goals or that the Organizer will use the funds as promised. Donations are generally not refundable except where required by law, required by our payment partners, or where Pixerria elects to issue, facilitate, or require a refund, reversal, or other resolution in connection with fraud prevention, misuse, misleading campaign content, policy enforcement, failed payout delivery, legal obligations, payment disputes, or other risk or compliance concerns.

Unless a Campaign explicitly displays a verified registered charity number and clearly states that official tax receipts will be issued, contributions made through Pixerria are generally not tax-deductible charitable donations. You are solely responsible for determining the tax treatment of any contribution you make.

If you suspect that a Campaign is fraudulent, misleading, materially changed from its stated purpose, or otherwise violates these Terms, you should report it to us through our Help & Support page. Pixerria may review donor complaints and determine, in its discretion, whether a refund, hold, investigation, account action, or other remedy is appropriate. We may request evidence or additional information from donors, organizers, beneficiaries, or third parties as part of that process.

If a donor initiates a chargeback, bank dispute, card dispute, ACH return, or other payment reversal, Pixerria and its payment partners may place funds on hold, reverse transfers, debit reserves, reduce future payouts, or take any other action reasonably necessary to respond to the dispute and protect the Platform.

6. User Conduct

You agree not to use the Platform to:

  • Post any content that is illegal, fraudulent, defamatory, obscene, hateful, or infringing on others' rights.
  • Use any automated means, including scripts, bots, scrapers, macros, headless browsers, or custom software extensions, to interact with the interactive pixel canvas, automate pixel placement, or bypass the Platform's standard user interface or rate limits.
  • Engage in any activity that interferes with or disrupts the Platform, its servers, or networks.
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Harvest or collect email addresses or other contact information of other users from the Platform by electronic or other means.

We reserve the absolute right to clear, overwrite, remove, hide, lock, archive, or otherwise modify any coordinates, pixels, artwork, campaign visuals, or shared canvas content at any time, without prior notice, liability, or obligation to refund, if we determine the content is offensive, harmful, disruptive to a Campaign or the Platform, technically abusive, legally risky, or otherwise violates these Terms.

We reserve the right to remove content and suspend or ban users who violate these rules. We may also report suspected fraud, unlawful conduct, or other serious misconduct to payment processors, regulators, or law enforcement authorities where appropriate.

7. Intellectual Property

You retain ownership of the content you post. However, by posting content (including text, images, and pixel art on a canvas), you grant Pixerria a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform.

You represent and warrant that the content, imagery, text, logos, designs, and pixel configurations you upload, submit, or place on the Platform do not infringe, misappropriate, or violate any third-party intellectual property, publicity, privacy, or other rights. Pixerria may remove allegedly infringing content, including canvas content, upon receipt of a complaint, takedown notice, or other claim of rights infringement.

Pixerria does not guarantee that any canvas placement, artwork, or visual contribution will remain visible or preserved indefinitely. The canvas and related content may be reset, archived, resized, rolled back, re-rendered, optimized, or otherwise modified due to maintenance, moderation, technical limitations, abuse prevention, storage management, product changes, or operational needs, without liability or any obligation to restore lost placements or data.

8. Disclaimer and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PIXERRIA IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; OR (iii) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Termination

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including, without limitation, a breach of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Vancouver, British Columbia.

11. Indemnity

You agree to defend, indemnify and hold harmless Pixerria and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to reasonable attorney's fees), resulting from or arising out of a) your use and access of the Platform, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Platform.

12. General Provisions

These Terms constitute the entire agreement between you and Pixerria concerning the Platform. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
