1. Acceptance of Terms

This is a binding agreement. By using the website (pixerria.com) and any services provided by Pixerria (collectively, the "Platform"), you agree to abide by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform.

2. The Pixerria Platform

Pixerria is an online crowdfunding platform where users can create fundraising campaigns ("Campaigns") to raise money from other users ("Donors"). Pixerria is a platform provider and is not a broker, financial institution, or charity. All funds are processed by third-party payment processors (e.g., Adyen).

3. Accounts and Security

You are responsible for maintaining the security of your account and are fully responsible for all activities that occur under the account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security.

4. For Campaign Organizers

As a Campaign Organizer, you represent and warrant that:

  • All information you provide is accurate and not misleading.
  • You will use all donated funds solely for the purposes stated in your Campaign.
  • You will comply with all applicable laws and regulations in your use of the donations.
  • You are responsible for any and all taxes due on the funds you receive.

Pixerria reserves the right to withhold funds or suspend campaigns if there is a suspicion of fraudulent activity or a breach of these terms.

5. For Donors

By donating, you understand that your contribution is made to the Campaign Organizer, not to Pixerria. We do not guarantee that a Campaign will achieve its goals or that the Organizer will use the funds as promised. Donations are generally not refundable. If you suspect a Campaign is fraudulent, please report it to us via our Help & Support page.

6. User Conduct

You agree not to use the Platform to:

  • Post any content that is illegal, fraudulent, defamatory, obscene, hateful, or infringing on others' rights.
  • Engage in any activity that interferes with or disrupts the Platform, its servers, or networks.
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Harvest or collect email addresses or other contact information of other users from the Platform by electronic or other means.

We reserve the right to remove content and suspend or ban users who violate these rules.

7. Intellectual Property

You retain ownership of the content you post. However, by posting content (including text, images, and pixel art on a canvas), you grant Pixerria a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform.

8. Disclaimer and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PIXERRIA IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; OR (iii) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Termination

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including, without limitation, a breach of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Vancouver, British Columbia.

11. Indemnity

You agree to defend, indemnify and hold harmless Pixerria and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Platform, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Platform.

12. General Provisions

These Terms constitute the entire agreement between you and Pixerria concerning the Platform. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
